Terms of Service

These Terms of Service (“Terms”) govern your use of robert.app (“the Service”) operated by SKUBE LABS, INC., a Delaware C-Corporation (“we”, “us”, “our”). By creating an account or using the Service, you agree to these Terms.

1. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Service. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Your Account

You are responsible for maintaining the security of your account credentials. You must provide accurate information when creating your account. You may not share your login credentials or allow others to access your account. Notify us immediately if you suspect unauthorized access.

3. The Service

Robert is a collaborative workspace platform for content creation, real-time document editing, AI-powered assistance, file management, and team collaboration. Features may change over time as we improve the Service.

4. Your Content

You retain all rights to content you create, upload, or share through the Service. By using the Service, you grant us a limited, non-exclusive, worldwide license to store, display, reproduce, and process your content solely as necessary to provide and improve the Service. This license ends when you delete your content or account.

You are responsible for your content. You must not upload or create content that is illegal, infringes on third-party rights, or contains malware.

Content shared in team workspaces is visible to team members according to the workspace’s permission settings.

5. AI Features

The Service includes AI-powered features that process your prompts using third-party language model providers (such as OpenAI, Google, and Anthropic) to generate responses.

• No training on your data. Your content is not used to train our AI models or any third-party AI models.
• No guarantee of accuracy. AI outputs may be inaccurate, incomplete, or unsuitable. You are responsible for reviewing and verifying any AI-generated content before relying on it.
• Ownership of AI output. You may use AI-generated content freely, subject to applicable law. Note that purely AI-generated content may not be eligible for copyright protection.
• Sensitive data. Do not include passwords, financial account numbers, health information, or other sensitive data in AI prompts.

6. Acceptable Use

You agree not to:

• Violate any applicable laws or regulations
• Infringe on the intellectual property rights of others
• Upload malware, viruses, or harmful code
• Attempt to access other users’ accounts or data
• Reverse engineer, scrape, or extract data from the Service
• Use the Service for spam or bulk messaging
• Use AI features to generate illegal, harmful, or deceptive content
• Circumvent rate limits, security measures, or access controls
• Resell access to the Service without authorization

7. Beta & Early Access Features

We may offer features labeled as “beta”, “preview”, or “early access”. These features are provided as-is, may be incomplete or contain bugs, and may be changed or removed at any time without notice. We make no guarantees about the availability, reliability, or performance of beta features, and they are excluded from any SLA or uptime commitments.

8. Payment & Billing

Some features require a paid subscription. Payments are processed by Stripe. By subscribing, you agree to pay the applicable fees. Subscriptions renew automatically unless cancelled before the end of the billing period. We may change pricing with 30 days’ notice. Fees are non-refundable except where required by law.

9. Copyright

We respect intellectual property rights and comply with the Digital Millennium Copyright Act (DMCA).

Filing a takedown notice. If you believe content on the Service infringes your copyright, send a notice to legal@robert.app with: (a) identification of the copyrighted work, (b) the infringing material and its location, (c) your contact information, (d) a statement of good faith belief, and (e) a statement under penalty of perjury that the information is accurate.

Counter-notification. If you believe your content was removed in error, you may send a counter-notification to legal@robert.app with: (a) identification of the removed content, (b) a statement under penalty of perjury that the removal was a mistake or misidentification, (c) your contact information, and (d) consent to jurisdiction in the federal courts of Delaware.

Repeat infringers. We may terminate the accounts of users who are determined to be repeat infringers.

10. Termination

You may delete your account at any time. We may suspend or terminate your access if you violate these Terms, with or without notice depending on severity. Upon termination, you will have 30 days to export your data before it is permanently deleted.

11. Privacy & AI

Your use of the Service is also governed by our Privacy Policy and our AI Policy, which describe how we collect, use, and protect your data, including how your content is handled when you use AI features.

12. Third-Party Services

The Service integrates with third-party services (authentication providers, file storage, AI providers, payment processors). We are not responsible for the availability, terms, or practices of these services. Your use of connected integrations is subject to their respective terms.

13. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT AI FEATURES WILL PRODUCE ACCURATE OR SUITABLE RESULTS.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SKUBE LABS, INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, PROFITS, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM. WE ARE NOT LIABLE FOR DECISIONS MADE BASED ON AI-GENERATED CONTENT.

15. Indemnification

You agree to indemnify SKUBE LABS, INC. from claims arising from your content, your use of the Service in violation of these Terms, or your violation of any third-party rights.

16. Force Majeure

Neither party shall be liable for any failure or delay in performance due to causes beyond its reasonable control, including but not limited to natural disasters, acts of government, internet or infrastructure failures, third-party service outages, or cyberattacks. The affected party must provide reasonable notice and make good-faith efforts to resume performance.

17. Dispute Resolution

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Delaware. You agree to submit to the personal jurisdiction of these courts.

18. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes at least 30 days in advance by email or through a notice in the Service. Continued use after the effective date constitutes acceptance. If you disagree with the changes, you may delete your account.

19. General

• If any provision of these Terms is unenforceable, the remaining provisions remain in effect.
• These Terms, our Privacy Policy, and our AI Policy constitute the entire agreement between you and SKUBE LABS, INC.
• Our failure to enforce any provision does not waive our right to enforce it later.
• We may assign these Terms (e.g. in an acquisition). You may not assign your rights under these Terms.
